1. Introduction

Welcome to Spronet.ng ("Platform", "we", "us", or "our"). Spronet.ng is a business-to-business (B2B) industrial procurement marketplace that connects Buyers in Construction, Oil & Gas, Agriculture, Manufacturing, and related industries with verified Suppliers ("Dealers") across the Federal Republic of Nigeria.

These Terms of Service ("Terms") constitute a legally binding agreement between you — whether an individual, a sole proprietorship, a partnership, a limited liability company, or any other legal entity — and Spronet Nig Ltd ("Company"), the operator of the Spronet.ng platform, accessible at www.spronet.ng and all related sub-domains, mobile applications, and APIs (collectively, the "Service").

By creating an account, accessing, or using the Service in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental terms, policies, or guidelines posted on the Platform. If you do not agree, you must immediately discontinue use of the Service.

2. Definitions

Throughout these Terms, the following definitions apply:

  • "Buyer" — A registered User who creates sourcing requests (RFQs), receives and evaluates quotes, negotiates pricing, places orders, and submits payment proofs through the Platform.
  • "Dealer" (also "Seller" or "Supplier") — A registered User who maintains a Dealer Profile, lists products and/or services, responds to RFQs with quotes, negotiates pricing, fulfils orders, and confirms payment receipt through the Platform.
  • "Dealer Profile" — The business listing page associated with a Dealer account, which displays company information, products, reviews, Handshake Score, and verification status.
  • "RFQ" (Request for Quotation) — A formal sourcing request posted by a Buyer specifying the goods or services required, delivery preferences, and any additional parameters.
  • "Quote" — A formal response from a Dealer to an RFQ, specifying pricing, breakdown, delivery terms, validity period, and any conditions.
  • "Order" — A confirmed transaction between a Buyer and a Dealer, created when a Buyer accepts a Quote and commits to purchase.
  • "Negotiation Room" — The Platform's structured messaging interface where Buyers and Dealers discuss pricing, terms, and specifications before or during an Order.
  • "Handshake Score" — A proprietary trust metric calculated by the Platform based on a User's transaction history, responsiveness, payment reliability, review ratings, and overall conduct on the Platform.
  • "Success Fee" — The Platform service fee charged to the Dealer upon successful completion of an Order, calculated as a percentage of the Order's total transaction value.
  • "Boost Campaign" — A paid promotional feature that increases the visibility of a Dealer's products or a Buyer's RFQs within the Platform and, where applicable, across external channels.
  • "Content" — All text, images, files, documents, data, product listings, posts, comments, reviews, and other materials uploaded, posted, or transmitted through the Platform by any User.
  • "Verification" — The process by which the Platform confirms a Dealer's business identity, registration, and operational legitimacy through document review and/or physical inspection.

3. Eligibility

3.1 Minimum Age

You must be at least eighteen (18) years of age to create an account or use the Service. By using the Service, you represent and warrant that you are of legal age to form a binding contract under the laws of the Federal Republic of Nigeria.

3.2 Business Capacity

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity.

3.3 Prohibited Users

You may not use the Service if:

  • You have been previously suspended, banned, or had your account terminated by Spronet.ng.
  • You are subject to trade sanctions or restrictions imposed by the Nigerian government, the United Nations, or any applicable sanctions regime.
  • You are a competitor seeking to scrape data, reverse-engineer features, or interfere with the Platform's operations.

4. Account Registration and Security

4.1 Account Creation

To access most features, you must create an account using a valid email address and complete the authentication process via our identity provider (currently Clerk). You agree to provide accurate, current, and complete information during registration and to update this information promptly if it changes.

4.2 Account Types

  • Buyer Account — The default registration type. Buyers can create RFQs, browse Dealers, negotiate, place orders, and leave reviews.
  • Dealer Account — Created by registering a Dealer Profile. Dealers can list products, respond to RFQs with quotes, manage orders, and build a public business presence on the Platform.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorised access to or use of your account. Spronet.ng shall not be liable for any loss or damage arising from your failure to safeguard your login credentials.

4.4 One Account Per Entity

Each individual or business entity may maintain only one active account on the Platform. Creating multiple accounts to circumvent suspensions, manipulate the Handshake Score system, or exploit promotional features is strictly prohibited and is grounds for immediate and permanent termination of all associated accounts.

5. Dealer Profiles and Verification

5.1 Profile Creation

Dealers are required to create a comprehensive business profile including, but not limited to, company name, description, contact details, business category, business address, and representative information. Dealers may optionally upload a company logo, banner image, and brand colour.

5.2 Verification Process

Spronet.ng employs a verification process to confirm the legitimacy of Dealer businesses. Verified Dealers receive a "Verified" badge displayed on their profile and product listings. Verification may involve document submission, email/phone verification, administrative review, or on-site inspection at the Platform's discretion.

5.3 Claiming an Existing Profile

In cases where Spronet.ng has pre-created a Dealer Profile based on publicly available business information, the rightful owner of that business may submit a Claim Request. Claiming requires email verification via OTP, followed by administrative review and approval. Upon successful claim, the Dealer assumes full control and responsibility for the profile.

5.4 Identity Lock

Once a Dealer's core identity information (company name, representative name) is verified and approved by an administrator, this information may be locked to prevent unauthorised changes. Any request to modify locked identity fields must be submitted to Spronet.ng support for manual review.

5.5 Dealer Representations

By operating a Dealer account, you represent and warrant that:

  • Your business is lawfully registered and operating in the Federal Republic of Nigeria (or, where applicable, another jurisdiction clearly disclosed).
  • All product listings, descriptions, images, certifications, and pricing are truthful, accurate, and not misleading.
  • You have all necessary licences, permits, and authorisations required to sell the products or services you list on the Platform.
  • You will honour all quotes, orders, and agreed terms unless otherwise mutually agreed upon with the Buyer.

6. Sourcing Requests (RFQs)

6.1 Creating an RFQ

Buyers may create Sourcing Requests (RFQs) specifying what they need, including product description, category, quantity, unit, budget range (optionally public), delivery type (delivery or pickup), delivery location with GPS coordinates, deadline, and file attachments such as specification sheets.

6.2 Distribution

After creating an RFQ, Buyers choose how to distribute it:

  • Post Publicly — The RFQ is listed on the public Sourcing Board, visible to all verified Dealers.
  • Send to Network — The RFQ is sent exclusively to Dealers in the Buyer's trusted network (followed businesses).
  • Send to Matched Suppliers — The Platform's matching algorithm identifies Dealers whose products, expertise, and location best fit the request and notifies them directly.
  • Direct Request — The Buyer sends the RFQ directly to a specific Dealer from their profile page.

6.3 RFQ Opt-Out

Dealers may opt out of receiving unsolicited public RFQs by adjusting their profile settings. This does not affect direct requests from Buyers, network distributions from followed Buyers, or matched distributions.

6.4 No Guarantee of Response

Spronet.ng does not guarantee that any RFQ will receive quotes, nor does it guarantee the quality, pricing, or timeliness of any quotes received. The Platform facilitates connections but is not a party to any transaction between Buyers and Dealers.

7. Quotes and Negotiations

7.1 Submitting Quotes

Dealers may respond to RFQs by submitting a Quote, which must include a total price in Nigerian Naira (₦) and may include a detailed breakdown (text description, line-item table, or uploaded quotation document), delivery terms, a pickup location (if applicable), validity period, and additional notes.

7.2 Quote Validity

Quotes are considered binding offers for the period specified in the Quote's "Valid Until" field. After this date, the Dealer may withdraw or modify the Quote. If no validity period is specified, the Quote remains open until explicitly withdrawn by the Dealer.

7.3 Declining an RFQ

Dealers may decline an RFQ by selecting a reason (e.g., "Not in my area," "Out of stock," "Need more information," or "Not our product line"). Declining an RFQ in good faith does not negatively impact the Dealer's standing on the Platform.

7.4 Negotiation

Buyers and Dealers may use the Platform's Negotiation Room to discuss pricing, terms, specifications, and logistics before or after a Quote is submitted. All negotiation messages are recorded and stored by the Platform. Users agree that their negotiation communications may be used by Spronet.ng for dispute resolution purposes.

7.5 Counter-Offers

The Platform supports structured counter-offers within the Negotiation Room. Both parties may propose revised pricing until agreement is reached. Counter-offers are not binding until explicitly accepted by the other party.

8. Orders and Fulfilment

8.1 Order Creation

An Order is created when a Buyer accepts a Quote. The Order captures the agreed price, quantity, line items, delivery type, and delivery address. Once created, an Order represents a mutual commitment between the Buyer and Dealer to complete the transaction in accordance with the agreed terms.

8.2 Order Lifecycle

Orders progress through the following statuses:

  • Pending — Order created, awaiting Dealer acknowledgement and processing.
  • Processing — Dealer has accepted and is preparing the order.
  • Shipped — Goods have been dispatched. Dealer may provide a tracking number and carrier name.
  • Delivered — Goods received and confirmed by the Buyer.
  • Cancelled — Order cancelled by either party before fulfilment, subject to any applicable cancellation terms.

8.3 Obligation to Fulfil

Once an Order is created, both parties are expected to fulfil their respective obligations in good faith:

  • Dealers must deliver the goods or services as specified in the accepted Quote, within the agreed timeframe, and in the quality and quantity represented.
  • Buyers must make payment as agreed and confirm receipt of goods promptly upon delivery.

8.4 Delivery

The terms of delivery (including method, timing, and risk of loss) are as agreed between the Buyer and Dealer in the accepted Quote. Spronet.ng is not a logistics provider and does not handle, ship, or insure any goods. The Platform provides location-selection tools (including map-based GPS pinning) to facilitate accurate delivery coordination.

9. Payments

9.1 Direct Payments

All payments for goods and services are made directly between the Buyer and the Dealer. Spronet.ng does not process, hold, or escrow transaction payments between Users. The Platform facilitates the exchange of payment information and proof of payment, but the actual transfer of funds occurs outside the Platform (e.g., via bank transfer, mobile money, or other mutually agreed payment methods).

9.2 Payment Proofs

Buyers may upload payment proof (receipts, transfer confirmations, or screenshots) through the Platform. Dealers may confirm, dispute, or request additional proof. Payment proofs are stored securely and may be used for dispute resolution.

9.3 Platform Fees (Success Fee)

Upon successful completion of an Order (status: Delivered), a Success Fee of 2.5% of the total Order value is charged to the Dealer. This fee is invoiced through the Platform as a "Platform Invoice" and becomes due within the timeframe specified on the invoice.

The Success Fee:

  • Is non-refundable once the Order is confirmed as delivered.
  • Is payable in Nigerian Naira (₦) via Paystack or any other payment method designated by the Platform.
  • May contribute to the Dealer's Handshake Score when paid promptly.
  • Is subject to change with thirty (30) days' prior written notice to affected Dealers.

9.4 Boost Campaign Payments

Payments for Boost Campaigns are processed via Paystack at the time of activation. Boost Campaign payments are non-refundable once the campaign is active, except as required by applicable consumer protection law.

9.5 Invoices

Platform Invoices are generated automatically and are accessible through the Dealer's dashboard. Invoices in "PENDING" status must be settled by the due date. Failure to pay may result in the invoice being marked as "OVERDUE," which may negatively impact the Dealer's Handshake Score and, in chronic cases, lead to account restrictions.

10. Handshake Score (Trust System)

10.1 Purpose

The Handshake Score is a proprietary trust and reputation metric designed to help Users assess the reliability of potential trading partners. It is calculated based on a combination of transactional behaviour, responsiveness, peer reviews, and overall platform engagement.

10.2 Scoring Factors

Factors that contribute to the Handshake Score include, but are not limited to:

  • Timely fulfilment of orders
  • Prompt response to RFQs and messages
  • Positive buyer reviews and ratings
  • Payment of Platform success fees on time
  • Profile completeness and verification status
  • Duration and consistency of activity on the Platform

10.3 Tier System

Users progress through tiers (e.g., Newcomer, Established, Trusted, Premium) based on their accumulated Handshake Score. Higher tiers may unlock additional visibility, priority in matching algorithms, and other Platform benefits.

10.4 No Manipulation

Any attempt to artificially inflate, manipulate, or game the Handshake Score — including through fake transactions, review fraud, coordinated rating schemes, or multiple accounts — is a severe violation of these Terms and will result in immediate account termination and forfeiture of all accumulated scores.

11. Reviews and Ratings

11.1 Eligibility

Only Buyers who have a completed Order (status: Delivered) with a Dealer may leave a review for that specific transaction. Each Order may receive only one review.

11.2 Review Standards

Reviews must:

  • Be truthful, fair, and based on genuine transaction experience.
  • Not contain defamatory, abusive, discriminatory, or threatening language.
  • Not include personal contact information, external links, or solicitations.
  • Not be submitted in exchange for payment, discounts, or other inducements from any party.

11.3 Review Removal

Spronet.ng reserves the right to investigate and remove reviews that violate these standards. Dealers may report reviews they believe are fraudulent, and the Platform's content moderation team will review such reports.

12. Products and Listings

12.1 Product Listings

Dealers may list products and services on the Platform, including name, description, images, pricing (fixed or negotiable), unit of measurement, minimum order quantity, certifications, and category classification. Product listings marked as "Services" are subject to the same standards and obligations as physical product listings.

12.2 Accuracy

All product listings must be accurate, current, and not misleading. Pricing must reflect the actual cost or a reasonable estimate. Deliberately posting inflated, falsified, or bait-and-switch pricing is a violation of these Terms.

12.3 Prohibited Products

The following categories of products and services are strictly prohibited on the Platform:

  • Illegal goods, including controlled substances, unlicensed firearms, and stolen property.
  • Counterfeit, pirated, or intellectual-property-infringing goods.
  • Hazardous materials not properly documented, certified, or labelled in compliance with Nigerian law.
  • Products subject to government embargo, sanction, or export control.
  • Any product or service that violates Nigerian law or any applicable international law.

12.4 Moderation

All product listings and user-generated content are subject to the Platform's content moderation system. Content may be flagged, placed under review, or suspended by the content moderation team. Listings in a suspended or flagged state will not be visible to other Users until the issue is resolved.

13. Social Feed and Community Features

13.1 Posts and Engagement

Users may post updates, industry news, product announcements, and other content to the social feed. Other Users may like, comment on, and engage with posts. Posts may tag specific products, Dealer Profiles, or product categories.

13.2 Following and Networks

Users may follow other Users and Dealers to build a trusted network. Following a Dealer enables network-based RFQ distribution. Following is unilateral and does not require mutual consent.

13.3 Content Standards

All social content must comply with the Prohibited Conduct standards set forth in Section 16 of these Terms. Content that violates these standards is subject to moderation, including flagging, suspension, or removal.

14. Boost Campaigns (Paid Promotion)

14.1 Overview

Dealers may purchase Boost Campaigns to increase the visibility of their products within the Platform's marketplace, search results, and, where available, via external amplification channels.

14.2 Terms

  • Boost Campaigns are purchased for a fixed duration and price.
  • The Platform tracks impressions and clicks for each campaign and makes this data available to the Dealer.
  • Boosted content is clearly marked as promoted within the Platform's interface.
  • Boost placement and visibility are subject to the Platform's algorithms and layout and are not guaranteed to generate a specific number of views, clicks, or conversions.

14.3 Refund Policy

Boost Campaign payments are generally non-refundable once the campaign is activated. In exceptional circumstances (e.g., Platform error resulting in zero delivery), the Company may, at its sole discretion, issue a credit, extension, or partial refund.

15. Intellectual Property

15.1 Platform IP

The Spronet.ng name, logo, brand identity, software, algorithms (including the Handshake Score algorithm and RFQ matching engine), user interface designs, and all other intellectual property associated with the Platform are the exclusive property of Spronet Technologies Ltd. You may not copy, modify, distribute, sell, or lease any part of the Platform without prior written consent.

15.2 User Content

You retain ownership of all Content you upload to the Platform. However, by uploading Content, you grant Spronet.ng a worldwide, non-exclusive, royalty-free, transferable, sub-licensable licence to use, display, reproduce, distribute, and modify your Content solely for the purpose of operating, improving, and promoting the Service. This licence survives the termination of your account only to the extent necessary for legitimate operational and archival purposes.

15.3 Third-Party IP

You represent and warrant that all Content you upload does not infringe on the intellectual property rights of any third party. If you believe your intellectual property has been infringed on the Platform, please contact us at legal@spronet.ng.

16. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose or in violation of any local, state, national, or international law.
  • Post false, misleading, or deceptive product listings, company information, or sourcing requests.
  • Engage in fraud, including submitting fake payment proofs, falsifying order completion, or conducting sham transactions.
  • Harass, threaten, defame, or discriminate against any other User.
  • Attempt to circumvent the Platform's fee structure, including conducting transactions off-Platform after initiating contact through the Platform.
  • Scrape, data-mine, or use automated tools to extract data from the Platform without prior written authorisation.
  • Upload malware, viruses, or any code designed to disrupt, damage, or limit the functionality of the Platform.
  • Create multiple accounts for the purpose of evading bans, manipulating scores, or abusing promotional features.
  • Impersonate another individual, business, or entity.
  • Interfere with or disrupt the Platform, servers, or networks connected to the Service.
  • Use the Platform to launder money or finance terrorism.
  • Solicit Users to leave the Platform for the purpose of avoiding Platform fees.

17. Content Moderation and Enforcement

17.1 Moderation Authority

Spronet.ng reserves the right to monitor, review, flag, suspend, or remove any Content or User account at any time, with or without notice, for any reason including, but not limited to, violation of these Terms.

17.2 Content Statuses

Content on the Platform may be in one of the following moderation states:

  • Active — Visible to all Users.
  • Flagged — Under review by the moderation team. May be temporarily hidden.
  • Suspended — Removed from public visibility pending investigation.
  • Under Review — Being actively reviewed by an administrator.

17.3 Account Statuses

User accounts may be placed in one of the following statuses:

  • Active — Full access to all Platform features.
  • Under Review — Some features may be restricted during investigation.
  • Suspended — Account access is temporarily revoked.

17.4 Appeals

Users whose Content has been removed or whose accounts have been suspended may submit an appeal to support@spronet.ng. Appeals will be reviewed by the Platform's trust and safety team. Spronet.ng reserves the right to make final and binding decisions regarding all moderation actions.

18. Disclaimers and Limitation of Liability

18.1 Marketplace Facilitator

Spronet.ng is a marketplace facilitator, not a party to transactions between Buyers and Dealers. We do not manufacture, store, ship, own, inspect, certify, or guarantee any product or service listed on the Platform. All transactions are between the Buyer and the Dealer, and both parties are solely responsible for the terms, quality, and fulfilment of their agreements.

18.2 No Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPRONET.NG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF INFORMATION.

18.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPRONET NIG LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR ANY OTHER INTANGIBLE LOSS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.4 Maximum Liability

IN NO EVENT SHALL SPRONET.NG'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SPRONET.NG IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TEN THOUSAND NIGERIAN NAIRA (₦10,000).

19. Indemnification

You agree to indemnify, defend, and hold harmless Spronet Nig Ltd, its officers, directors, employees, agents, and affiliates from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of or access to the Service.
  • Your violation of these Terms.
  • Your violation of any third-party right, including any intellectual property, privacy, or contractual right.
  • Any Content you upload, post, or transmit through the Service.
  • Any transaction or dispute between you and another User of the Platform.

20. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy and in compliance with the Nigeria Data Protection Act (NDPA) 2023.

20.1 Data We Collect

We collect data including account information, business profiles, transaction records, communication logs (including negotiation messages), location data, device information, and usage analytics.

20.2 Data Retention

We retain transaction records and communication logs for a minimum period required by applicable Nigerian law and as necessary for legitimate business operations, including dispute resolution and fraud prevention.

21. Dispute Resolution

21.1 Between Users

Spronet.ng encourages Buyers and Dealers to resolve disputes directly using the Platform's negotiation and messaging tools. In cases where direct resolution is not possible, Users may request Platform-assisted mediation by contacting support@spronet.ng. However, Spronet.ng is not obligated to mediate and any mediation is provided as a courtesy, not as a guarantee of resolution.

21.2 Payment Disputes

The Platform provides tools for Dealers to confirm or dispute payment proofs submitted by Buyers. If a Dealer disputes a payment proof, both parties are encouraged to provide additional documentation to resolve the matter. Spronet.ng is not responsible for verifying payment transactions conducted outside the Platform.

21.3 Between You and Spronet.ng

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days of written notice, either party may submit the dispute to binding arbitration under the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The arbitration shall be conducted in Rivers State, Nigeria, in the English language.

21.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions. You irrevocably submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria, for any matter arising out of or related to these Terms.

22. Termination

22.1 By You

You may terminate your account at any time by contacting support@spronet.ng. Termination does not relieve you of any outstanding obligations, including unpaid Platform Invoices or pending Order fulfilment commitments.

22.2 By Spronet.ng

We may suspend or terminate your account, with or without notice, if we reasonably believe that:

  • You have violated these Terms.
  • Your use of the Service poses a risk to the Platform, other Users, or third parties.
  • Your account has been inactive for an extended period as determined by the Platform.
  • Continued provision of the Service to you is no longer commercially viable.

22.3 Effect of Termination

Upon termination: (a) your right to access and use the Service ceases immediately; (b) any pending Orders are handled in accordance with the obligations to fulfil set forth in Section 8; (c) outstanding Platform Invoices remain due and payable; (d) your Content may be retained in accordance with our data retention policies and applicable law.

23. Communications and Notifications

By creating an account, you consent to receive communications from Spronet.ng via email, in-app notifications, SMS, or push notifications. These communications may include transactional notifications (new RFQs, quotes, order updates), system notifications (security alerts, policy updates), and promotional communications (new features, Boost Campaign offers). You may opt out of promotional communications but not transactional or system notifications essential to the operation of your account.

24. Modifications to Terms

Spronet.ng reserves the right to modify these Terms at any time. When we make material changes, we will notify affected Users via email and/or an in-app notification at least fourteen (14) days before the changes take effect, unless the changes are required by law, in which case they may take effect immediately. Your continued use of the Service after the effective date of modified Terms constitutes acceptance of the updated Terms.   • OpenStreetMap / Nominatim — For map display and geocoding services.
  • Supabase — For database and storage infrastructure.

Your use of these third-party services is subject to their respective terms of service and privacy policies. Spronet.ng is not responsible for the availability, accuracy, or security of third-party services.

26. Force Majeure

Spronet.ng shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet outages, or infrastructure failures.

27. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

28. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Spronet Nig Ltd regarding the use of the Service. These Terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Spronet.ng.

29. No Waiver

The failure of Spronet.ng to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorised representative of Spronet Nig Ltd.
